Fincantieri has priced its global offering

Milan – Fincantieri S.p.A. announced today that it priced the Global Offering of its ordinary shares for the listing on the Mercato Telematico Azionario (MTA) organized and managed by Borsa Italiana S.p.A. 450,000,000 Shares out of the maximum number of 703,980,000 Shares, resulting exclusively from the share capital increase, are being offered in the Global Offering, as provided for in the Prospetto Informativo Fintecna S.p.A., in its capacity as Selling Shareholder, will not sell any Shares in the Global Offering.

An Overallotment option for 50,000,000 Shares will be granted by Fintecna S.p.A. The Shares allocation between Institutional Investors and the General Public will be determined by making use of the claw-back provision contemplated by the Prospetto Informativo.

The Offering Price has been set at € 0.78 per share for a total amount of € 351,000,000, excluding the overallotment option and gross of fees and expenses related to the transaction. The capitalization of the Company will be approximately Euro 1,320 million, calculated on the basis of the Offering Price.

The date of start of trading of the Company’s ordinary shares is scheduled for Thursday, July 3, 2014, subject to the relevant authorization by the Italian Stock Exchange. The settlement is scheduled for the same day.

Banca IMI, Credit Suisse, J.P. Morgan, Morgan Stanley and UniCredit Corporate and Investment Banking are acting as Joint Global Coordinators. Banca IMI is acting as the Lead Manager of the Italian Public Offering, while UniCredit Corporate Investment Banking is acting as Sponsor.

The Joint Bookrunners are: BNP PARIBAS, Citigroup Global Markets Limited, Deutsche Bank AG, London Branch, Goldman Sachs International, HSBC Bank Plc and Mediobanca. Equita SIM is acting as financial advisor to Fincantieri, while Rothschild is the financial advisor to Fintecna, entirely owned by CDP.

The law firms of Gianni, Origoni Grippo Cappelli & Partners and Sullivan & Cromwell are acting as the Company’s legal advisors, Chiomenti Studio Legale as Fintecna’s legal advisor, and Lombardi Molinari Segni and Latham & Watkins as the legal advisors to the Joint Global Coordinators and the Joint Bookrunners. The Company’s independent auditors are PricewaterhouseCoopers.
